3. Purpose of the Website. Conclusion of the Contract
The Website serves informational and presentation purposes and does not currently operate as an online shop. A request submitted through a form, by email, telephone or WhatsApp does not, in itself, constitute a binding order.
The sale takes place on the basis of the accepted Quotation and the signed Contract. In the event of any discrepancy between the general information on the Website and the individual Contract, the Contract and its annexes shall prevail, without prejudice to the mandatory rights granted to Consumers by law.
For contracts concluded at a distance or outside business premises, the pre-contractual information requirements and mandatory rights provided under Romanian Government Emergency Ordinance No. 34/2014, which regulates consumer rights in contracts concluded with traders and transposes European standards on electronic commerce and consumer protection into national legislation, or under the applicable legal framework in force on the date of conclusion of the Contract, shall apply.
4. Product Information and Customisation
Photographs, renderings, drawings, previous projects and configurations presented on the Website are for illustrative purposes only. The binding configuration is the one specified in the Quotation and Contract accepted by the Client.
Following the signing of the Contract, any modification or upgrade requested by the Client shall be subject to technical and commercial assessment. The Supplier may refuse modifications that are no longer technically feasible or that could affect safety, type approval, structural integrity, weight distribution, installations or the production deadline.
Approved modifications shall be carried out only after written confirmation through an addendum to the Contract and agreement on the additional cost. The Supplier may make implementation conditional upon full payment of the additional cost. The production/delivery deadline shall be recalculated accordingly, in compliance with the contractual terms.
5. Prices, VAT and Services Not Included
The applicable price for each project is the price specified in the individual Quotation and Contract. For Consumers, the final amount payable and any known additional costs shall be communicated in accordance with applicable legislation before the Consumer assumes the payment obligation.
Unless expressly stated otherwise in the Quotation/Contract, delivery to the Client’s address, operating permits, utility connections at the Client’s premises, third-party fees and post-delivery services are not included in the price.
Changes to the list prices published on the Website shall not affect Contracts that have already been concluded.
6. Binding Order, Advance Payment and Reservation of Production Capacity
The order becomes binding once all conditions stipulated in the Contract have been fulfilled, generally including the signing of the Contract and receipt of the first instalment/advance payment.
For projects manufactured or customised to order, the Contract may stipulate that part of the price covers the reservation of production capacity, design work and initial project-specific operations. Under VLAIKON’s contractual templates, this component may be set at the equivalent of 25% of the Contract value, provided that it is clearly specified in the individual Contract.
If the Client requests termination of the project after the order has been initiated, the financial consequences shall be determined in accordance with the Contract, the actual stage of the project, services already performed, materials and equipment ordered or committed, and the proven loss incurred, subject to the mandatory rules applicable to Consumers. Consumers shall not be charged penalties or amounts that are manifestly disproportionate to the Supplier’s loss.
For projects financed wholly or partly through external funding, including, but not limited to, European funds, non-repayable funding programmes or other similar funding sources, VLAIKON reserves the right to request guarantees from the Beneficiary to secure the fulfilment of the assumed payment obligations. Such guarantees may include a promissory note, a bank guarantee letter or other security instruments agreed upon by the parties and permitted by law. The type, value, validity and conditions of the guarantee shall be determined according to the project value, the funding mechanism and the risk associated with each transaction, and shall be specified in the Quotation and/or the Contract concluded with the Beneficiary.
7. Payment Methods and Late Payment
The payment method and due dates shall be those specified in the individual Quotation and Contract. As a standard commercial arrangement, VLAIKON may require 50% payment upon confirmation of the binding order and the remaining 50% in accordance with the due date stipulated in the Contract, or full payment. This general description does not replace the individual payment schedule.
No Product shall be handed over before all due amounts have been paid in full, including amounts due for approved modifications/upgrades, transport, storage or other payable services.
Late payment may result in the suspension of production or handover and a recalculation of the deadline, provided that these consequences are clearly stipulated in the Contract and are proportionate. For Consumers, any penalties and consequences of non-performance shall apply only within the limits of consumer protection legislation and the rules on unfair contractual terms.
8. Production Timeframe
The exact production timeframe is the one specified in the Contract. The period begins on the date contractually indicated, which may be the date the advance payment is received and/or the date on which all information, approvals, materials or equipment that the Client is required to provide have been received.
The timeframe may be reasonably extended due to delays attributable to the Client, modifications requested by the Client, delayed approvals, non-payment, missing equipment to be supplied by the Client, force majeure or other circumstances expressly provided for in the Contract. For Consumers, VLAIKON does not reserve a discretionary right to unilaterally modify the deadline.
If the parties have contractually agreed on a specific delivery date or period, that date or period shall take precedence over the general trailer production timeframe.
9. Delivery, Inspection, Collection and Storage
The place and method of handover shall be established in the Contract. Acceptance involves the visual, quantitative and reasonably possible functional inspection of the Product at handover, as well as the signing of the handover and commissioning report.
The Client must attend the inspection/collection at the date communicated in accordance with the Contract. Trailer delivery and acceptance take place exclusively on Fridays, between 9:00 a.m. and 11:00 a.m., at VLAIKON’s premises.
For trailers whose scheduled delivery date falls on a day other than Friday, delivery shall take place on the immediately following Friday, and the trailer shall be considered delivered on time.
If the Beneficiary fails to collect the Product on time for reasons attributable to them, VLAIKON may charge the storage fee stipulated in the Contract (under current templates: RON 50 per calendar day), starting from the contractually established date, provided that the amount is applicable and legally payable.
Where transport to the Client’s address has been ordered, it shall be carried out under the conditions specified in the Contract/transport order. Additional waiting or standstill costs arising from the impossibility of handover for reasons attributable to the Client shall be payable only if they have been contractually communicated and accepted and are justified.
For Consumers, the risk of loss or damage shall transfer in accordance with the law. The provisions concerning acceptance do not limit the Consumer’s right to subsequently report a lack of conformity or a hidden defect under the applicable legal conditions.
If the trailer is not collected from the Beneficiary’s premises within 10 days of the date agreed by both parties for delivery and acceptance, this shall be considered a refusal to accept the trailer. The Supplier may then sell or otherwise dispose of the trailer and refund the amounts paid by the Beneficiary up to the date of refusal, subject to the Contract and the legislation in force on that date.
10. Right of Withdrawal / Returns for Individual Consumers
For standard, non-customised goods, where the Contract is concluded at a distance or outside business premises and no other legal exception applies, the Consumer shall benefit from the right of withdrawal provided under Romanian Government Emergency Ordinance No. 34/2014.
IMPORTANT EXCEPTION – TRAILERS MANUFACTURED / CUSTOMISED TO ORDER. Under Article 16(1)(c) of Romanian Government Emergency Ordinance No. 34/2014, the statutory right of withdrawal does not apply to goods made to the Consumer’s specifications or clearly personalised. Consequently, a trailer individually manufactured/configured according to the Client’s options — for example, dimensions, colour, shutter and door positions, electrical and water installations, furniture, equipment, finishes or other technical modifications — is not eligible for the statutory 14-day return right where it genuinely falls within this exception.
This exclusion concerns the right to withdraw without giving a reason and does not affect the Consumer’s rights in the event of a lack of conformity, a defect, delivery of a Product that differs from the contractual configuration or failure by the Supplier to fulfil its obligations.
If a Product is standard and has not been customised, the right of withdrawal shall be assessed separately, depending on how the Contract was concluded and which legal exceptions apply.
11. Conformity of Goods and Consumer Warranty
Sales to Consumers are governed by Romanian Government Emergency Ordinance No. 140/2021 on certain aspects concerning contracts for the sale of goods, Government Ordinance No. 21/1992 and other applicable mandatory legal provisions. The warranty for trailers is valid within the territory of Romania. Certain professional catering equipment benefits from an international warranty.
VLAIKON is liable to Consumers for any lack of conformity of the goods in accordance with Romanian Government Emergency Ordinance No. 140/2021.
The statutory liability period for lack of conformity is 24 months from delivery for individual Consumers and 12 months for legal entities, without prejudice to special rules concerning goods with digital elements or hidden defects.
In the event of a lack of conformity, the Consumer shall benefit from the remedies provided by law, including repair or replacement free of charge and, where the legal conditions are met, a price reduction or termination of the Contract.
Repair or replacement shall be carried out within a reasonable period not exceeding 15 calendar days from the date on which the Seller is notified. This period shall be agreed upon in writing by both parties, taking into account the nature and complexity of the goods.
If the lack of conformity is identified shortly after delivery, within a period not exceeding 30 calendar days, the Consumer shall benefit from replacement of the goods under the conditions of Article 11(7) of Romanian Government Emergency Ordinance No. 140/2021.
The Consumer shall make the goods available to the Seller for bringing them into conformity. Costs that must legally be borne by the Seller to remedy the lack of conformity may not be transferred to the Consumer under this document.
12. VLAIKON Commercial Warranty
Separate from the Consumer’s statutory rights, VLAIKON may provide a commercial warranty as specified in the warranty certificate. The specific conditions, covered goods/components, duration and service procedure are those stated in the certificate provided upon delivery.
For trailers sold to Consumers, VLAIKON’s current documentation provides for a commercial warranty of 24 months for individual Consumers and 12 months for legal entity customers. The applicable commercial warranty conditions shall be established in the Contract and the warranty certificate.
The commercial warranty does not affect or limit the Consumer’s statutory remedies for lack of conformity.
The commercial warranty does not cover defects attributable to improper use, accidents, overloading, improper maintenance, unauthorised interventions/modifications or failure to comply with the manual, insofar as there is a causal link between such conduct and the defect. Exclusions under the commercial warranty cannot eliminate statutory liability for a lack of conformity that existed at the time of delivery.
Where applicable, catering equipment installed in the trailer is covered by the warranties provided by its respective manufacturers/suppliers, without affecting the Seller’s direct legal liability towards the Consumer.
13. Manual, Commissioning and Maintenance
Upon handover, the Client shall be provided, in electronic or physical format, with the documents required by the Contract and applicable law, as appropriate, including:
- Tax invoice
- Trailer handover and commissioning report
- Trailer commercial warranty certificate
- Trailer operation and maintenance manual
- Trailer technical/service sheet
- User manuals for catering equipment
- Vehicle Identity Card issued by the Romanian Automotive Register (RAR)
- 2D drawing of the trailer
Compliance with operating and maintenance instructions is essential for safety and for preventing defects attributable to the user. Periodic checks are recommended for seals, electrical and water installations, braking/running gear, coupling, tyres, shutters and, where applicable, the extraction hood, filters and catering equipment.
14. Refusal of Acceptance and Complaints Regarding Lack of Conformity
The Client may not refuse acceptance solely for reasons that do not constitute a deviation from the contractual configuration or a relevant lack of conformity. At the same time, no provision shall limit the Consumer’s right to submit legitimate complaints regarding the conformity of the goods.
Any visible observations at handover shall be recorded in the handover report. Lack of conformity that could not reasonably have been identified during acceptance may be reported subsequently, within the time limits and under the conditions established by law.
Photographs, video recordings and inspections carried out at handover may serve as evidence documenting the condition of the goods at the time of delivery.
15. Delays and Liability
The Supplier shall not be liable for delays caused exclusively by the Client or by circumstances for which, under the Contract and applicable law, the Supplier cannot be held at fault. Delays involving documents issued by authorities or third parties (for example, RAR), where the Supplier has fulfilled its own obligations on time, shall be handled in accordance with the Contract and applicable law.
For Consumers, no provision shall exclude or limit mandatory rights relating to delivery, conformity, compensation or termination of the Contract where the statutory conditions are met.
16. Protection Against Unfair Contract Terms
In dealings with Consumers, these Terms, the Contract and its annexes shall be interpreted and applied in accordance with Romanian Law No. 193/2000, as subsequently amended. VLAIKON does not seek to impose terms that, contrary to the requirement of good faith, create a significant imbalance to the detriment of the Consumer.
Clauses concerning penalties, storage, order cancellation, rescheduling of production and additional costs shall apply only to the extent that they are clear, communicated before the Contract is concluded, proportionate and permitted by law.
17. Complaints and Alternative Dispute Resolution
Complaints may be sent to info@vlaikon.com and, for technical/service matters, to tehnic@mincos.ro.
VLAIKON shall review complaints and communicate its response within the legally applicable timeframe or within the period applicable to the circumstances.
Consumers may contact the National Authority for Consumer Protection (ANPC) and may use the Alternative Dispute Resolution (ADR) procedure. Following ANPC’s 2026 update, information about ADR and access to the integrated electronic platform are available through the official ANPC website. The former European Online Dispute Resolution (ODR) platform has been discontinued and is therefore no longer indicated as an active mechanism.
18. Data Protection and Communications
Personal data shall be processed in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation for the purposes of managing enquiries, quotations, contracts, invoicing, delivery, warranties and legal obligations.
Marketing communications shall be sent in accordance with the law and, where required, on the basis of consent. Unsubscribing must be possible free of charge.
19. Amendments to the Terms
VLAIKON may update these Terms for future application, including to reflect legislative or operational changes. Such amendments shall not retroactively alter Contracts already concluded or reduce the mandatory rights of Consumers.
